Acceptance of Terms

By accessing or using the Xhuma Talent website, mobile application, or related services (collectively, the 'Services'), you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any part of these Terms, you must not use the Services.

Eligibility and Account Registration

You must be able to form a legally binding contract to use the Services. If you create an account on behalf of an organization, you represent that you have authority to bind that organization.

You are responsible for providing accurate information, keeping your credentials secure, and for all activity under your account.

Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to misuse the platform, interfere with its operation, attempt unauthorized access, reverse engineer any part of the Services, or use the Services to transmit harmful, unlawful, or misleading content.

We may suspend or terminate access if we reasonably believe you have breached these Terms or used the Services in a way that may harm Xhuma, other users, or third parties.

User Content and Data

The Services may allow you to upload, submit, store, share, or otherwise make available content, including personal information, forms, documents, messages, applications, assessments, and other materials.

You remain responsible for the content you provide and confirm that you have all rights needed to share it with us. You grant Xhuma a non-exclusive, worldwide, royalty-free license to host, process, store, reproduce, and use your content only as needed to operate and improve the Services and to provide the functionality you request.

Intellectual Property

The Services, including their design, branding, software, text, graphics, logos, and functionality, are owned by Xhuma or its licensors and are protected by intellectual property laws.

Except as expressly allowed by these Terms, no rights are granted to you in any Xhuma intellectual property.

Third-Party Services

The Services may link to or integrate with third-party services, including payment providers, analytics tools, communication providers, and partner platforms. We are not responsible for the content, policies, availability, or practices of third parties.

Your use of third-party services may be subject to separate terms and privacy policies.

Fees and Payments

Where fees apply, you agree to provide accurate billing information and to pay all charges associated with your use of the Services. Fees are non-refundable unless required by law or expressly stated otherwise.

We may use third-party payment processors to handle transactions securely. We are not responsible for failures or delays caused by those providers.

Disclaimers

The Services are provided on an 'as is' and 'as available' basis. To the maximum extent permitted by law, Xhuma disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will always be uninterrupted, error-free, secure, or free of harmful components.

Limitation of Liability

To the fullest extent permitted by law, Xhuma will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from or related to your use of the Services.

Our total liability for any claim related to the Services will not exceed the amount you paid us, if any, in the twelve months before the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless Xhuma, its affiliates, directors, officers, employees, and partners from and against any claims, losses, liabilities, damages, costs, and expenses arising from your use of the Services, your content, or your breach of these Terms.

Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, created risk or possible legal exposure for Xhuma, or if we discontinue the Services.

Upon termination, your right to use the Services will immediately cease, but sections that by their nature should survive termination will remain in effect.

Changes to the Services and Terms

We may update the Services and these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Your continued use of the Services after changes become effective means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of South Africa, without regard to conflict of law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts having authority in South Africa, unless applicable law requires otherwise.
